Terms of Service
These Terms of Service ("Terms") are an agreement between you, the business using our services ("Client", "you"), and Nexreach Solutions, a unit of Tirupati Health Lifestyle and Services, a sole proprietorship of Mandem Reddy Bharath, Tirupati, Andhra Pradesh, India (GSTIN 37CNOPM5629J2ZA) ("Nexreach", "we", "us"). By signing up for, paying for or using our services, you accept these Terms.
1. Our services
We provide setup, software access, support and related services that let businesses send and receive messages on the WhatsApp Business Platform (the "Services"). The platform itself is operated by Meta Platforms, Inc. and WhatsApp LLC ("Meta"). We are an independent service provider, not Meta. Parts of the Services run on software and infrastructure supplied by our technology partners.
2. Your account
- You must be a registered business or professional and at least 18 years old.
- You must give us accurate business details and keep them up to date, including for Meta business verification.
- You are responsible for everything done through your account and for keeping your login details safe.
- Your WhatsApp Business account and phone number remain yours. If you leave us, we will help you move them, subject to Meta's rules.
3. Acceptable use
You must follow WhatsApp's Business Terms, Business Messaging Policy and Commerce Policy, and all Indian laws. In particular, you must not:
- message anyone who has not opted in to receive messages from you;
- send spam, misleading content, or content that is illegal, hateful, obscene or infringes someone's rights;
- promote products or services that WhatsApp's Commerce Policy prohibits, such as drugs, weapons, gambling, adult content or unlicensed financial products;
- collect sensitive data such as full card numbers, bank passwords or OTPs over chat;
- try to get around messaging limits, quality controls or our security.
Meta may restrict, flag or ban a number or account that breaks its policies. We are not responsible for actions Meta takes, but we will help you respond to them.
4. Your data and your customers' data
You own your data and your customers' data. You are the Data Fiduciary for your customers' personal data under the Digital Personal Data Protection Act, 2023, and you appoint us as your Data Processor to deliver your messages. We handle that data as described in our Privacy Policy. You confirm that you have a lawful basis and valid consent for every contact you upload or message.
5. Fees, wallet and payment
- Subscription fee: charged in advance for each billing period (monthly, quarterly or yearly) as per your chosen plan.
- Setup fee: any one-time setup or onboarding fee is shown in your quote.
- Messaging charges: Meta charges for messages sent on the platform. These are paid from a prepaid wallet in your account at the rates shown in your plan. Meta may change its rates; we will pass on changes with notice where possible.
- All prices are in Indian Rupees and exclude GST, which is added to every invoice.
- If payment is overdue by more than 7 days, we may pause the Services until it is paid.
Refunds are covered by our Refund Policy.
6. Service availability
We work to keep the Services running at all times, but we do not guarantee uninterrupted service. Outages at Meta, our technology partners, telecom networks or internet providers are outside our control. We will tell you about planned maintenance in advance where we can.
7. Intellectual property
Our software, website, brand and materials belong to us or our partners. You get a limited, non-transferable right to use them while your account is active. Your content, logos and data remain yours. WhatsApp and Meta are trademarks of their respective owners.
8. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, or for actions taken by Meta. Our total liability for any claim is limited to the subscription fees you paid us in the 3 months before the claim arose.
9. Indemnity
You agree to compensate us for losses and legal costs arising from your breach of these Terms, of WhatsApp's policies, or of the law, including claims from people you messaged.
10. Ending the agreement
- You may cancel at any time with 15 days' written notice. Your plan runs until the end of the current paid period.
- We may suspend or end the Services immediately if you seriously breach these Terms or WhatsApp's policies, or if the law or Meta requires it.
- After the account ends, you can ask for an export of your data within 30 days.
11. Transfer of this agreement
We may transfer this agreement to a successor entity, such as a company we incorporate to run this business, by giving you written notice. Your rights under these Terms will not be reduced by the transfer.
12. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails within 30 days, the courts at Tirupati, Andhra Pradesh, have exclusive jurisdiction.
13. Changes
We may update these Terms. We will post the new version here and email clients at least 15 days before significant changes take effect. Continuing to use the Services after that means you accept the new Terms.
